Neem Connect Referral Program Terms & Conditions

1. How the Referral Program Works

To participate:

1. An existing Neem Connect user shares their unique referral link or referral code.
2. A new user registers for Neem Connect using that referral link or referral code.
3. The referred user posts a genuine qualifying job through Neem Connect.
4. The referred user selects and hires an eligible contractor through Neem Connect.
5. The qualifying work is completed within 30 calendar days from the original date the job was posted.
6. The homeowner confirms completion through Neem Connect.
7. The homeowner submits an honest review of the contractor.
8. The required before-and-after photos are submitted.
9. Any required invoice and payment verification is completed.
10. Neem Connect verifies and approves the qualifying job and referral.

Once all applicable requirements have been satisfied:

Referred Homeowner/Customer: $100 CAD

Eligible Referrer: $100 CAD

2. Registration or Job Posting Alone Does Not Qualify

Registering for Neem Connect through a referral link or referral code does not by itself qualify either participant for a promotional reward.

Posting a job does not by itself qualify either participant for a promotional reward.

The qualifying process is:

1. Referral

4. ↓Neem Connect Contractor Selected
5. ↓Job Completed Within 30 Days
6. ↓Homeowner Confirms Completion
7. ↓Homeowner Submits Honest Review
8. ↓Before & After Photos Submitted
9. ↓Required Invoice / Payment Verification Completed
10. ↓Neem Connect Approves the Job
11. ↓Homeowner Gets $100 + Referrer Gets $100

If any required stage is not completed or cannot reasonably be verified, the promotional rewards may not be issued.

3. Who Receives the Rewards?

For an approved qualifying referral:

Referred Homeowner/Customer

The eligible referred homeowner/customer receives:

$100 CAD

Referrer

The eligible person who made the qualifying referral receives:

$100 CAD

The maximum combined promotional reward associated with the qualifying referral is therefore $200 CAD, unless Neem Connect expressly states otherwise in a particular promotion.

4. The Homeowner's $100 Is Not an Additional Stacked Reward

Where the referred homeowner qualifies for the $100 payment under this Referral Program and the applicable Neem Connect Homeowner Job Completion Incentive, those programs do not provide two separate $100 payments to the homeowner for the same completed job.

The referred homeowner's qualifying payment is:

$100 CAD total

The referrer's qualifying payment is:

$100 CAD total

Therefore, under the standard referral promotion:

Maximum for the referred homeowner: $100

Maximum for the referrer: $100

Maximum total associated with the qualifying referral: $200

Additional promotional rewards will not be stacked on the same job unless Neem Connect expressly authorizes them.

5. New User Requirement

The referred person must be a genuine new Neem Connect user.

A referred user may be considered ineligible where:

• They already have or previously had a Neem Connect account;
• They create another account for the purpose of obtaining promotional rewards;
• Another person creates an account on their behalf to manipulate the promotion;
• The new account is controlled by an existing user;
• Duplicate contact or identity information indicates that the account is not genuinely new; or
• Neem Connect reasonably determines that the new account requirement has been circumvented.

Neem Connect may conduct additional verification where duplicate or related account activity is identified.

6. Referral Tracking

The referred user must register using the eligible referrer's unique Neem Connect referral link or referral code.

Each referred user may be associated with only one referrer for the purposes of this promotion.

Referral rewards cannot be transferred between accounts after registration except where Neem Connect determines that a technical error occurred.

If the referred user registers without properly using the referral link or referral code, Neem Connect may be unable to attribute the referral.

Participants are responsible for ensuring that the correct referral link or code is used during registration.

7. Minimum Qualifying Job Value

To qualify for the referral rewards, the completed job must have a minimum verified value of:

$750 CAD before applicable taxes

The qualifying amount must represent genuine services and/or materials actually supplied as part of the completed job.

Neem Connect may use the final amount actually invoiced and paid by the homeowner when determining whether the minimum value requirement has been satisfied.

The following may be excluded when determining the qualifying job value:

• Taxes;
• Refunds;
• Rebates;
• Cancelled charges;
• Reversed transactions;
• Financing charges;
• Amounts not actually paid;
• Artificially inflated charges; and
• Amounts Neem Connect reasonably determines were added primarily to meet the promotional minimum.

A job may not be artificially increased, divided, combined, reposted or otherwise manipulated to qualify for promotional rewards.

8. 30-Day Job Completion Requirement

The qualifying job must be fully completed within:

30 Calendar Days

The 30-day period begins on the original date the job is first posted on Neem Connect.

Editing, cancelling, duplicating or reposting the same or substantially similar job does not restart the 30-day qualification period.

If the qualifying work is not completed within 30 calendar days from the original posting date, the job will not qualify for the referral rewards unless Neem Connect expressly provides otherwise.

9. Contractor Must Be Hired Through Neem Connect

The referred homeowner must connect with and select an eligible contractor through Neem Connect.

The contractor must:

• Have an active Neem Connect contractor account;
• Be connected with or selected for the applicable job through Neem Connect;
• Actually perform the qualifying work;
• Complete the work within the applicable qualification period;
• Provide truthful information about the work performed;
• Cooperate with Neem Connect's verification process; and
• Comply with applicable laws and requirements relating to their services.

Jobs arranged completely outside Neem Connect and later entered into the platform primarily to obtain promotional rewards are not eligible.

10. Mandatory Homeowner Review

Job completion alone is not sufficient to qualify for either promotional reward.

After the work has been completed, the referred homeowner must submit a genuine review of the contractor through Neem Connect.

The review may be positive, neutral or negative.

A positive review is not required.

Neither the homeowner reward nor the referral reward depends on:

• Giving a particular star rating;
• Giving the contractor a positive review;
• Recommending the contractor; or
• Expressing any particular opinion.

Neem Connect encourages customers to provide honest feedback about their actual experience.

The following are prohibited:

• Fake reviews;
• Reviews written by contractors for customers;
• Reviews dictated or controlled by contractors;
• Reviews submitted through another person's account;
• Copied reviews;
• Fabricated reviews;
• Coordinated reviews; and
• Reviews that materially misrepresent the customer's actual experience.

An honest negative review will not, by itself, make an otherwise qualifying job ineligible for the promotional rewards.

11. Mandatory Before-and-After Photos

Clear photographs relating to the qualifying work must be submitted as part of the completion and verification process.

At minimum, Neem Connect may require:

• Before photos showing the condition prior to the work; and
• After photos showing the completed work.

The photos must relate to the actual qualifying job.

Photos must not be:

• Downloaded from the internet;
• Taken from another project;
• Reused from another qualifying job;
• Screenshots of unrelated work;
• Fabricated or misleading;
• Artificially manipulated to misrepresent the job; or
• Submitted from another property or location for the purpose of obtaining promotional rewards.

Neem Connect may request additional progress photos, videos or other supporting information where reasonably necessary.

12. Invoice and Proof of Payment

Neem Connect may require documentation demonstrating that a genuine transaction occurred between the homeowner and contractor.

This may include a final invoice showing:

• Customer name;
• Contractor/business name;
• Job address or location;
• Scope or description of work;
• Date of work;
• Final amount charged; and
• Applicable taxes.

Neem Connect may also require proof that payment was actually made.

Acceptable supporting evidence may include:

• E-transfer confirmation;
• Credit card transaction;
• Debit card transaction;
• Cheque;
• Bank transaction record;
• Payment receipt; or
• Another reasonably verifiable payment method.

An invoice by itself does not necessarily prove that payment was made.

Cash transactions may be subject to additional verification.

If Neem Connect cannot reasonably verify that payment occurred, the promotional claim may be declined.

Refunded, reversed, unpaid or cancelled transactions do not qualify.

13. Referrer Cannot Perform the Referred Job

To prevent self-dealing and abuse, the person receiving the $100 referral reward may not also be the person or business financially benefiting from performing the referred job.

The referrer is not eligible to receive the referral reward where the referrer is also:

• The contractor performing the job;
• The owner or co-owner of the contracting company performing the job;
• An employee of the contractor performing the job;
• A subcontractor performing the job;
• An agent or representative of the contractor; or
• Another person who directly financially benefits from the contractor being hired for that job.

Example

This restriction applies even if the underlying work is genuine.

14. Self-Referrals Are Prohibited

A participant cannot refer themselves.

Self-referral includes directly or indirectly:

• Creating another account using your own referral link;
• Creating an account using another email address or phone number;
• Creating a homeowner account and contractor account controlled by the same person;
• Asking another person to create an account that you control;
• Using another person's identity to generate a referral; or
• Structuring accounts or transactions primarily to obtain promotional rewards.

Self-referrals will not qualify.

15. Related Parties, Friends and Family

Referring a genuine friend, family member, neighbour or other person is permitted.

A friendship or family relationship alone does not automatically make a referral ineligible.

However, Neem Connect may conduct additional verification where the homeowner, contractor and/or referrer have a personal, family, financial or business relationship.

Rewards may be denied where Neem Connect reasonably determines that related persons worked together primarily to manufacture a transaction or obtain promotional rewards.

16. No Fake, Staged or Manufactured Jobs

The Referral Program is intended only for genuine jobs that the homeowner actually needs and that a contractor genuinely performs.

Rewards will not be issued for:

• Fake jobs;
• Staged jobs;
• Fabricated jobs;
• Jobs created primarily to obtain the promotional payments;
• Jobs where no meaningful work was performed;
• Jobs where funds are transferred only to create proof of payment;
• Transactions where money is returned after verification;
• Artificial invoices;
• Inflated invoices;
• False receipts;
• Fabricated payment records; or
• Any arrangement designed to make an ineligible transaction appear genuine.

17. Duplicate and Multiple Accounts

Participants may not create or control multiple accounts for the purpose of obtaining additional referral or promotional rewards.

Neem Connect may review account and platform information where reasonably necessary to identify:

• Duplicate accounts;
• Multiple accounts operated from the same device;
• Repeated phone numbers;
• Repeated email addresses;
• Repeated payment information;
• Repeated account details;
• Unusual referral patterns; and
• Other indicators of potentially coordinated activity.

The presence of a common device, network, address or other shared information does not automatically establish fraud.

Neem Connect may use such information as a reason to conduct additional verification.

18. One Qualifying Referral Per Referred User

Unless Neem Connect expressly states otherwise:

• One new user may be connected to only one qualifying referrer.
• One qualifying job may generate only one referrer reward.
• One qualifying job may generate only one referred-homeowner reward.
• The same job may not be submitted through multiple accounts.
• The same completed work may not generate multiple referral rewards.
• The same invoice may not be used to support multiple unrelated promotional claims.
• The same photos may not be reused to support multiple unrelated jobs.
• Jobs may not be divided or duplicated to generate additional promotional payments.

19. No Unauthorized Reward Stacking

A qualifying referred job under this program may generate:

$100 for the eligible referred homeowner/customer

and

$100 for the eligible referrer

Unless expressly authorized by Neem Connect, the same job will not qualify for additional overlapping Neem Connect promotional payments.

In particular, the homeowner's $100 under this Referral Program is not an additional payment on top of a separate $100 Homeowner Job Completion Incentive for the same job.

Similarly, a separate contractor incentive will not apply to the same qualifying referral job unless Neem Connect expressly states otherwise.

20. Verification Before Any Reward Is Paid

Neither promotional payment is earned simply because the job is marked completed.

Neem Connect must first verify that the applicable requirements have been satisfied.

Verification may include:

• Reviewing the referral registration;
• Reviewing the original job posting;
• Reviewing account creation information;
• Confirming the contractor was connected through Neem Connect;
• Reviewing before, progress and after photos;
• Reviewing the homeowner's review;
• Reviewing invoices;
• Reviewing receipts;
• Reviewing proof of payment;
• Contacting the homeowner;
• Contacting the contractor;
• Contacting the referrer where necessary;
• Requesting additional documentation;
• Reviewing relevant account and platform activity;
• Reviewing possible duplicate or related accounts;
• Reviewing whether photos or documents have previously been used;
• Conducting video verification;
• Conducting a site visit where additional verification is reasonably necessary; or
• Taking other reasonable steps to verify that the qualifying job and referral are genuine.

Neem Connect is not required to use every verification method for every job.

Additional verification may be required where activity presents an increased risk of fraud or abuse.

21. Jobs and Referrals That Do Not Qualify

Rewards will not be issued for:

• Registration without a qualifying completed job;
• Jobs below the minimum qualifying value;
• Jobs completed more than 30 calendar days after the original posting date;
• Jobs where the required homeowner review was not submitted;
• Jobs where required photos were not submitted;
• Jobs that cannot reasonably be verified;
• Cancelled jobs;
• Incomplete jobs;
• Abandoned jobs;
• Refunded jobs;
• Fake or staged jobs;
• Fabricated transactions;
• Duplicate or reposted jobs;
• Self-referrals;
• Duplicate or fraudulent accounts;
• False invoices or receipts;
• False or misleading photos;
• False proof of payment;
• Reviews that are fabricated or materially misleading;
• Jobs arranged completely outside Neem Connect and later posted primarily to claim a reward;
• Transactions created primarily to obtain promotional rewards;
• Collusion between homeowners, referrers or contractors;
• Referrals where the referrer improperly performs or financially benefits from performing the referred job;
• Manipulation of the Referral Program; or
• Other material violations of these Terms.

22. Suspicious or Unusual Activity

Neem Connect may place a promotional claim under additional review where activity appears unusual.

Examples may include:

• Several accounts created from the same device;
• Repeated referrals involving the same contractor;
• Repeated transactions involving the same people;
• Multiple claims connected to the same payment details;
• Accounts created within unusually similar timeframes;
• A job posted and marked complete in an unreasonable timeframe;
• Repeated identical or substantially similar invoices;
• Repeated photos;
• Unusually high referral activity;
• Coordinated account activity; or
• Other patterns inconsistent with normal platform use.

An unusual pattern does not automatically mean fraud has occurred.

Neem Connect may request additional information before approving or denying the claim.

23. Withholding, Denial and Recovery of Rewards

Neem Connect may delay, withhold, deny, cancel or reverse a promotional reward where:

• Eligibility requirements have not been satisfied;
• Required information has not been supplied;
• A transaction cannot reasonably be verified;
• Material information is false or misleading;
• Fraud or abuse is identified;
• A transaction is cancelled, refunded or reversed;
• Supporting documentation is fabricated or manipulated;
• Participants fail to cooperate with reasonable verification;
• The referral violates these Terms; or
• The underlying job is determined to be ineligible.

If a promotional reward has already been paid and Neem Connect later determines that it was obtained through fraud, material misrepresentation or another material violation of these Terms, Neem Connect may seek repayment of the promotional amount where permitted by law.

24. Referral Program Abuse

Participants must not attempt to manipulate the Referral Program.

Prohibited activity includes:

• Buying or selling referral accounts;
• Creating fake accounts;
• Arranging fake jobs;
• Coordinating false transactions;
• Producing fabricated invoices or payment records;
• Paying someone to create an artificial qualifying account;
• Misrepresenting the identity of the homeowner, contractor or referrer;
• Returning payments after they have been submitted as proof of a qualifying transaction;
• Manipulating the job value;
• Reusing jobs, photos, invoices or reviews; and
• Circumventing eligibility requirements through another person or account.

Neem Connect may restrict accounts from future promotional programs where intentional abuse is identified.

25. Sharing Referral Links

Participants may share their referral links or referral codes with friends, family members, neighbours, homeowners and others who may genuinely need a contractor or qualifying service.

Referral links must not be distributed using:

• Spam;
• Misleading advertising;
• False representations;
• Impersonation of Neem Connect;
• Illegal unsolicited marketing; or
• Any method that violates applicable law or platform rules.

Participants must not make unauthorized promises or guarantees on behalf of Neem Connect.

Participants must accurately describe the promotion and its qualification requirements when promoting their referral link.

26. Reward Payment

After the qualifying referral and completed job have been verified and approved:

The eligible referred homeowner/customer will receive $100 CAD.

The eligible referrer will receive $100 CAD.

Rewards will be provided using a payment or reward method made available by Neem Connect.

Processing may take additional time where further verification is necessary.

A reward is not considered earned or payable until Neem Connect has completed its verification and approved the promotional claim.

27. Program Limits

Neem Connect may establish reasonable limits on referral participation or promotional rewards to protect the program from abuse and manage promotional availability.

Such limits may include restrictions based on:

• Promotional period;
• Geographic region;
• Job category;
• Job value;
• Number of referrals;
• Number of rewards;
• Account eligibility; or
• Available promotional budget.

Any specific limit applicable to a promotion may be communicated through the Neem Connect platform or promotional materials.

28. Program Availability and Changes

The Referral Program is a promotional program offered by Neem Connect.

Neem Connect may modify, suspend, extend, restrict or discontinue the Referral Program or change eligibility requirements or future reward amounts, subject to applicable law.

Changes to the program will apply prospectively according to the terms communicated by Neem Connect.

Rewards already verified and approved will generally be honoured unless fraud, misuse, material misrepresentation or a material error is subsequently identified.

29. Privacy

Personal information collected in connection with the Referral Program and its verification process will be handled in accordance with Neem Connect's Privacy Policy and applicable privacy laws.

Participants should provide only information reasonably necessary for verification.

When financial records are requested, participants may be permitted to redact unrelated private transaction information provided that the details necessary to verify the qualifying transaction remain visible.

30. Taxes

Participants are responsible for determining whether any tax reporting or payment obligations apply to promotional rewards they receive.

Neem Connect does not provide individual tax advice.

31. Acceptance of Terms

By participating in the Neem Connect Referral Program, participants agree to comply with:

• These Referral Program Terms & Conditions;
• Neem Connect's Terms of Service;
• Neem Connect's Privacy Policy;
• The applicable Homeowner Job Completion Incentive Policy; and
• Other applicable Neem Connect platform rules.

Where these Referral Program Terms specifically address the qualification or payment of a referral reward, these Referral Program Terms will govern that referral reward.
